Assets on Consignment Clause Samples

Assets on Consignment. ▇▇▇▇▇▇’▇ agrees to contribute to the Company the amounts necessary to fund the acquisition by the Company of the Contributed Assets that are on consignment or not yet paid for, as set forth on Schedule III hereto, provided that with respect to the items set forth on Schedule III hereto, ▇▇▇▇▇▇’▇ shall not be obligated to contribute to the Company any amount in excess of $300,000. In the event that the acquisition by the Company of the items set forth on Schedule III requires the Company to pay any amount in excess of $300,000 (an “Excess Amount”), SCI agrees to contribute to the Company an amount equal to such Excess Amount.
