Common use of Assignability and Binding Effect Clause in Contracts

Assignability and Binding Effect. This Agreement (including the covenants set forth in Section 8) shall inure to the benefit of and shall be binding upon the Company and its successors (including successors to all or substantially all of the Company's assets) and permitted assigns and upon the Executive and the Executive's heirs, executors, legal representatives, successors and permitted assigns. This Agreement, including but not limited to the covenants contained in Section 8 above, may be assigned or otherwise transferred by the Company to any of its subsidiaries or other affiliates and by such transferees to its subsidiaries or other affiliates, provided that, in any assignment or transfer the assignee or transferee agrees to be bound by the terms and conditions hereof. Upon assignment or transfer, the "Company" herein shall mean the buyer, assignee or transferee of this Agreement. This Agreement may not, however, be assigned by the Executive to a third party, nor may the Executive delegate his duties under this Agreement.
