Assignability; Binding Effect; Third Parties. (a) Except as otherwise set forth in this Notice and Indemnity Agreement, Assignee’s and the Successor Entities’ rights and obligations hereunder may not be assigned or delegated without the prior written consent of the other party. Subject to the preceding sentence, this Notice and Indemnity Agreement is binding upon and will inure to the benefit of Assignee, the Successor Entities, and each of their respective successors, assigns, heirs and legal representatives.
