Assigned Contract. The Assigned Contract is valid and binding on Assignor in accordance with its terms and is in full force and effect.
Assigned Contract. Seller has delivered to Buyer true, correct and complete copies of the Nexgen Agreement (the “Assigned Contract”) (including amendments thereto). The Assigned Contract is a valid and binding obligation of the parties thereto, enforceable in accordance with its terms. Seller has duly performed all of its obligations under the Assigned Contract to the extent that such obligations to perform have accrued; and no breach or default, alleged breach or default, or event which would (with the passage of time, notice or both) constitute a breach or default thereunder has occurred. Seller has not received any notice of default or breach (written or oral) under the Assigned Contract. The execution, delivery and performance of this Agreement or any Ancillary Agreement and consummation of the transactions contemplated hereby and thereby will not result in a breach of or default under the Assigned Contract, will not terminate of modify any rights of, or accelerate or augment any obligation of, Seller under the Assigned Contract and do not require any consent, approval, waiver or other action by any party to the Assigned Contract, except for the consent to assign the Assigned Contract by Nexgen. In accordance with the terms of this Agreement, at the Closing, Seller’s rights under the Assigned Contract shall be assigned hereby to Buyer, and Buyer shall have the right to exercise the rights and privileges of Seller under such Assigned Contract pursuant to its terms.
Assigned Contract. The Ex-US License Agreement is, and after giving effect to its assignment to Buyer pursuant to the Assignment Agreement will be, (a) in full force and effect, (b) the valid and binding obligations of Seller and SPV, and (c) enforceable in accordance with its terms. There exists no default, or any event which upon notice or the passage of time, or both, could reasonably be expected to give rise to any default, in the performance by Seller or by SPV under the Ex-US License Agreement. Upon assignment thereof pursuant to the Assignment Agreement, Buyer will succeed to all right, title and interest of Seller under the Ex-US License Agreement without the necessity to obtain the consent of any other Person to such assignment.
Assigned Contract. The term "Assigned Contract" shall mean all of the contracts, undertakings and agreements and all of the Assignor's right, title and interest therein, whether now owned or hereafter acquired, and all proceeds thereof, in that certain agreement entitled Stock Purchase and Redemption Agreement dated as of July 25, 1996, entered into by and among the Assignor, Ernexx X. Xxxxxxxx, Xxbexx X. Xxxxxx, Franx X. Xxxxx, Xx., xxd Summit.

Assigned Contract. If the applicable vendor gives its consent conditioned upon the payment of any fee, then MEI or Seller shall so notify Buyer, and if Buyer agrees within 10 days (or such shorter period as the vendor may require) to pay such fee, then upon payment of such fee, such contract shall be considered an Assigned Contract. If the applicable vendor does not give its consent, or such consent is subject to any material condition other than the payment of a fee, then such contract shall not be considered an Assigned Contract and MEI and Seller shall not be obligated to enter into a mutually agreeable arrangement pursuant to which Buyer will obtain the benefits of and assume the obligations under such software license.
