Material Condition definition

Material Condition means any condition which is of specific relevance to the activity covered by the authorisation.
Material Condition means, with respect to any Government Approval, a condition or requirement that, individually or when aggregated with other conditions or requirements, would reduce materially the benefits which Seller or Purchaser, as applicable, could reasonably have expected to derive from consummation of the transaction contemplated by this Agreement and which could not reasonably have been anticipated by the party adversely affected.
Material Condition applicable to Seller or Purchaser shall mean with respect to any Regulatory Approval obtained by either Seller or Purchaser, a condition or requirement, which does not relate to or arise from the Community Reinvestment Act (or any amendment, modification or successor thereto or similar federal or state statute thereto) or compliance therewith or performance of its obligations thereunder, included in such Regulatory Approval that, individually or in the aggregate, would (i) result in a material adverse effect on either Seller or Purchaser, as applicable, or (ii) reduce the benefits to Seller or Purchaser, as applicable, of the transactions contemplated by the Agreement in so material a manner that it would not have entered into this Agreement had such condition or requirement been known as of the date hereof.
