Material Condition definition

Material Condition means any condition which is of specific relevance to the activity covered by the authorisation.

Material Condition means, with respect to any Government Approval, a condition or requirement that, individually or when aggregated with other conditions or requirements, would reduce materially the benefits which Seller or Purchaser, as applicable, could reasonably have expected to derive from consummation of the transaction contemplated by this Agreement and which could not reasonably have been anticipated by the party adversely affected.

Material Condition applicable to Seller or Purchaser shall mean with respect to any Regulatory Approval obtained by either Seller or Purchaser, a condition or requirement, which does not relate to or arise from the Community Reinvestment Act (or any amendment, modification or successor thereto or similar federal or state statute thereto) or compliance therewith or performance of its obligations thereunder, included in such Regulatory Approval that, individually or in the aggregate, would (i) result in a material adverse effect on either Seller or Purchaser, as applicable, or (ii) reduce the benefits to Seller or Purchaser, as applicable, of the transactions contemplated by the Agreement in so material a manner that it would not have entered into this Agreement had such condition or requirement been known as of the date hereof.

• The Company shall not be required to disclose to the Holders which of the reasons specified in (i), (ii) or (iii) above is the basis for requiring a suspension of sales due to the occurrence of a Material Condition.

For Seller and Target, it is understood that a Material Condition will apply only to the acquisition of Target and not to any operational benefit or specific powers sought by Seller from regulatory agencies other than operational benefits enjoyed by Target, or specific powers held by Target, in each case, as of the date hereof.

Material Condition. A" at a New Price; (b) Used Material Condition "B" at 75 percent of New Price; (c) Used material Condition "C" at 50 percent of New Price; (d) Used Material Condition "D" at a reasonable price based on the use to which it is to be put. Material Condition for purposes of Sections 6.2(f), (g) and (h) means any conditions that are material and adverse to Target or Purchaser or any of their Subsidiaries and that differ materially in character, degree or scope from conditions commonly imposed by such consents or approvals.
