Assignee Obligations. Assignee Obligations. An authorized assignee of either Party hereunder will be bound by the terms of this Agreement and will have all of the rights and obligations of the assigning Party set forth in this Agreement, to the extent they have been assigned. If any assignee refuses to be bound by all of such terms and obligations of this Agreement or if any assignment is made in breach of the terms of this Agreement, then such assignment will be null and void and of no force or effect. No merger of Company with, acquisition of Company by, acquisition by Company of, or other consolidation of Company with any one or more other companies shall affect this Bechtel Communications & TerreStar Networks Confidential and Proprietary Information Agreement, the enforceability thereof or the rights or obligations of the Parties hereunder (whether or not Contractor has any contractual arrangements or other business dealings with any such company).

Any Authorized Assignee shall agree in writing to assume all obligations of Lessee with respect to the Solar Project, including without limitation, all payments due to State with respect to such Solar Project under Section 5 of this Lease. If an Authorized Assignee holds an interest in or lien on or security interest in this Lease to secure financing for the Solar Project while Lessee retains operational control of such Solar Project, such Authorized Assignee will have no obligation or liability under this Lease until the earlier of (i) such Authorized Assignee taking operational control of the Solar Project; or (ii) assuming all of Lessee’s interest in this Lease. Any such Assignee shall be liable to perform obligations under this Lease only for and during the period such Authorized Assignee exercises operational control or directly holds such interest or absolute title under this Lease. Nothing contained in this section shall prevent State from exercising its rights or remedies in the event of a default by Lessee, subject to the rights of any Authorized Assignee under Section 10.03. Any assignment permitted hereunder shall release the assignor from obligations accruing after the date that liability is assumed by the Authorized Assignee.
