Assignee Obligations. As a condition to Landlord's approval, any potential assignee otherwise approved by Landlord shall assume in writing all obligations of Tenant under this Lease and shall be jointly and severally liable with Tenant for rental and other payments and performance of all terms, covenants and conditions of this Lease.

(a) to pay as the case may be as from the start date of the assignment to the Storage Operator the Tariff for the assigned Storage Services;
(b) to observe the rules, conditions and obligations described in the Access Code for Storage and the Standard Storage Agreement.
Assignee Obligations. Any assignee must unconditionally agree in writing to assume all rights and obligations of Developer under this Agreement, and at such time, Developer will be released. No consent given by the City to any transfer or assignment of Developer's rights or obligations hereunder shall be construed as consent to any other transfer or assignment.

Assignee Obligations. Any Affiliate or Third Party assignee, as a condition of such assignment shall agree in writing to be bound by the terms of this Agreement.

Renovus Energy may transfer any or all of its interests in the ownership, operation and/or maintenance of the Project or its property interests if the proposed transferee has, in writing, agreed to abide by the terms of this Agreement, Town agreements, and any Permits, including any bonds or financial commitments.

In connection with any sublease or assignment, Tenant shall provide Landlord with copies of all assignments, subleases and assumption instruments, at least thirty (30) days prior to the proposed assignment or sublease.

Supplier shall procure and deliver to Buyer an undertaking, enforceable by Buyer, from each party possessing a security interest in the Generating Facility to the effect that, if such party forecloses on its security interest, (a) it will assume Supplier's obligations under and otherwise be bound by the terms of this Agreement, and (b) it will not sell, transfer or otherwise dispose of its interest in the Generating Facility to any third party absent an agreement from such third party to assume Supplier's obligations under and otherwise be bound by the terms of this Agreement.
