Common use of Assignment and Enurement Clause in Contracts

Assignment and Enurement. This Agreement and all its rights and privileges hereunder may not be assigned by any Party without the prior written consent of the other Party, which consent shall not be unreasonably withheld, provided, however, that CABHI may assign this Agreement to a subsidiary or affiliate of CABHI upon written notice to the other Party. This Agreement and everything herein contained will inure to the benefit of and be binding upon each of the Parties hereto and upon their respective heirs, estate trustees, personal representatives, successors and permitted assigns.

This Agreement and all its rights and privileges hereunder may not be assigned by any Party without the prior written consent of the other PartyParties, which consent shall not be unreasonably withheld, provided, however, that CABHI may assign this Agreement to a subsidiary or affiliate of CABHI (as that term is defined in the Not-for-Profit Corporations Act (Ontario)) upon written notice to the other PartyParties.
