Common use of Assignment and Enurement Clause in Contracts

Assignment and Enurement. This Agreement and all its rights and privileges hereunder may not be assigned by any Party without the prior written consent of all other Parties, which consent shall not be unreasonably withheld. This Agreement and everything herein contained will inure to the benefit of and be binding upon each of the Parties hereto and upon their respective heirs, estate trustees, personal representatives, successors and permitted assigns. A change in control or majority ownership of the Client shall be deemed to be an assignment of this Agreement and shall require the Administrators’ consent.
