ASSIGNMENT AND MODIFICATION OF AGREEMENT. 7.1 During the term of this Agreement, the rights of the Distributor under this Agreement shall not be assigned nor shall the performance of Distributor's duties hereunder be delegated, without the other AMS's prior written consent which shall not be unreasonably withheld except either Distributor may assign this Agreement (i) to an Affiliate that is an Affiliate as of date of execution of this Agreement or (ii) to an Affiliate whose assets consist entirely of the assets of an Affiliate or Affiliates that were Affiliates as of the date of execution of this Agreement (collectively the "permitted assignees").
ASSIGNMENT AND MODIFICATION OF AGREEMENT. This Agreement may not be assigned, delegated, or transferred in whole or in part by either Party, without the prior written consent of the other Party. No amendment or modification of the terms, conditions, or provisions of this Agreement shall be binding unless in writing and signed by the Parties.
