Assignment and Novation. (a) Except as permitted by the Licence, the Licensee may only assign its rights or novate its rights and obligations under this Agreement with the prior written consent of the Licensor. Such consent must not be unreasonably refused by the Licensor, subject to any further process set out in the IPR Management Plan. (b) The Licensor may assign or novate its rights to the Licensed IPR or this Agreement without further consent of the Licensee unless expressly prohibited under this Agreement.
