Common use of Assignment and Novation Clause in Contracts

Assignment and Novation. The Supplier shall not assign, novate, Sub-Contract or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Call Off Contract or any part of it without Approval. The Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract or any part thereof to: any other Contracting Authority; or any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Customer; or any private sector body which substantially performs the functions of the Customer, and the Supplier shall, at the Customer’s request, enter into a novation agreement in such form as the Customer shall reasonably specify in order to enable the Customer to exercise its rights pursuant to this Clause 47.2. A change in the legal status of the Customer shall not, subject to Clause 47.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 (the “Transferee” in the rest of this Clause 47.4) the right of termination of the Customer in Clause 41.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 (the “Transferee” in the rest of this Clause 47.4) the right of termination of the Customer in Clause 41.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 (Termination on Insolvency) and to Supplier or Framework DPS Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee).

The Supplier Service Provider shall not assign, novate, Sub-Contract or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Call Off Contract or any part of it without Approval. The Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract or any part thereof to: any other Contracting Authority; or any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Customer; or any private sector body which substantially performs the functions of the Customer, and the Supplier Service Provider shall, at the Customer’s request, enter into a novation agreement in such form as the Customer shall reasonably specify in order to enable the Customer to exercise its rights pursuant to this Clause 47.2. A change in the legal status of the Customer shall not, subject to Clause 47.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 (the “Transferee” in the rest of this Clause 47.4) the right of termination of the Customer in Clause 41.4 (Termination on Insolvency) shall be available to the Supplier Service Provider in the event of insolvency of the Transferee (as if the references to Supplier Service Provider in Clause 41.4 (Termination on Insolvency) and to Supplier Service Provider or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 36.2c (the “Transferee” in the rest of this Clause 47.436.4) the right of termination of the Customer in Clause 41.4 30.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 30.4 (Termination on Insolvency) and to Supplier or Framework DMP Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee).

The Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract or any part thereof to: : 36.2.1 any other Contracting Authority; or or 36.2.2 any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Customer; or or 36.2.3 any private sector body which substantially performs the functions of the Customer, and the Supplier shall, at the Customer’s request, enter into a novation agreement in such form as the Customer shall reasonably specify in order to enable the Customer to exercise its rights pursuant to this Clause 47.236.2. 36.3. A change in the legal status of the Customer shall not, subject to Clause 47.4 36.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. 36.4. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 36.2.3 (the “Transferee” in the rest of this Clause 47.4) 36.4 the right of termination of the Customer in Clause 41.4 30.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 30.4 (Termination on Insolvency) and to Supplier or Framework DPA Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee).

Assignment and Novation. 47.1 The Supplier shall not assign, novate, Sub-Contract or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Call Off Contract or any part of it without Approval. . 47.2 The Customer Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract or any part thereof to: any other Contracting Authority; or : 47.2.1 any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the CustomerAuthority; or or 47.2.2 any private sector body which substantially performs the functions of the CustomerAuthority, and the Supplier shall, at the CustomerAuthority’s request, enter into a novation agreement in such form as the Customer Authority shall reasonably specify in order to enable the Customer Authority to exercise its rights pursuant to this Clause 47.2. . 47.3 A change in the legal status of the Customer Authority shall not, subject to Clause 47.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. Authority. 47.4 If the Customer Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 47.2.2 (the “Transferee” in the rest of this Clause 47.4Clause) the right of termination of the Customer Authority in Clause 41.4 41.1.5 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 41.1.5 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 36.2c) (the “Transferee” in the rest of this Clause 47.436.4) the right of termination of the Customer in Clause 41.4 30.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 30.4 (Termination on Insolvency) and to Supplier or Framework DMP Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Customer shall not, subject to Clause 47.4 58.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 58.2.3 (the “Transferee” in the rest of this Clause 47.458.4) the right of termination of the Customer in Clause 41.4 52.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 52.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Customer shall not, subject to Clause 47.4 57.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 57.2.3 (the “Transferee” in the rest of this Clause 47.457.4) the right of termination of the Customer in Clause 41.4 51.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 51.4 (Termination on Insolvency) and to Supplier or Framework DPS Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Customer shall not, subject to Clause 47.4 48.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 48.2.3 (the “Transferee” in the rest of this Clause 47.448.4) the right of termination of the Customer in Clause 41.4 42.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 42.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

The Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract Lease Agreement or any part thereof to: any other Contracting Authority; or any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Customer; or any private sector body which substantially performs the functions of the Customer, and the Supplier shall, at the Customer’s request, enter into a novation agreement in such form as the Customer shall reasonably specify in order to enable the Customer to exercise its rights pursuant to this Clause 47.256.2. A change in the legal status of the Customer shall not, subject to Clause 47.4 56.4 affect the validity of this Call Off Contract Lease Agreement and this Call Off Contract Lease Agreement shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract Lease Agreement to a private sector body in accordance with Clause 47.2.3 56.2.3 (the “Transferee” in the rest of this Clause 47.456.4) the right of termination of the Customer in Clause 41.4 50.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 50.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Customer shall not, subject to Clause 47.4 52.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 52.2.3 (the “Transferee” in the rest of this Clause 47.452.4) the right of termination of the Customer in Clause 41.4 46.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 46.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 56.2.3 (the “Transferee” in the rest of this Clause 47.456.4) the right of termination of the Customer in Clause 41.4 50.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 50.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 49.2.3 (the “Transferee” in the rest of this Clause 47.449.4) the right of termination of the Customer in Clause 41.4 43.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 43.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

Assignment and Novation. 41.1 The Supplier shall not assign, novate, Sub-Contract or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Call Off Contract or any part of it without Approval. . 41.2 The Customer Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract or any part thereof to: any other Contracting Authority; or : 41.2.1 any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the CustomerAuthority; or or 41.2.2 any private sector body which substantially performs the functions of the CustomerAuthority, and the Supplier shall, at the CustomerAuthority’s request, enter into a novation agreement in such form as the Customer Authority shall reasonably specify in order to enable the Customer Authority to exercise its rights pursuant to this Clause 47.2. 41.2. 41.3 A change in the legal status of the Customer Authority shall not, subject to Clause 47.4 41.4, affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. Authority. 41.4 If the Customer Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 41.2.2 (the “Transferee” in the rest of this Clause 47.4Clause) the right of termination of the Customer Authority in Clause 41.4 35.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 35.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Customer shall not, subject to Clause 47.4 50.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 50.2.3 (the “Transferee” in the rest of this Clause 47.450.4) the right of termination of the Customer in Clause 41.4 44.5 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 44.5 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

The Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract or any part thereof to: any other Contracting Authority; or any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Customer; or any private sector body which substantially performs the functions of the Customer, and the Supplier shall, at the Customer’s request, enter into a novation agreement in such form as the Customer shall reasonably specify in order to enable the Customer to exercise its rights pursuant to this Clause 47.259.2. A change in the legal status of the Customer shall not, subject to Clause 47.4 59.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 59.2.3 (the “Transferee” in the rest of this Clause 47.459.4) the right of termination of the Customer in Clause 41.4 53.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 53.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

Assignment and Novation. 38.1 The Supplier shall not assign, novate, Sub-Contract or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Call Off Contract or any part of it without Approval. . 38.2 The Customer Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Call Off Contract or any part thereof to: any other Contracting Authority; or : 38.2.1 any other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the CustomerAuthority; or or 38.2.2 any private sector body which substantially performs the functions of the CustomerAuthority, and the Supplier shall, at the CustomerAuthority’s request, enter into a novation agreement in such form as the Customer Authority shall reasonably specify in order to enable the Customer Authority to exercise its rights pursuant to this Clause 47.2. 38.2. 38.3 A change in the legal status of the Customer Authority shall not, subject to Clause 47.4 38.4, affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. Authority. 38.4 If the Customer Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 38.2.2 (the “Transferee” in the rest of this Clause 47.4Clause) the right of termination of the Customer Authority in Clause 41.4 32.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 32.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Customer shall not, subject to Clause 47.4 60.4 affect the validity of this Call Off Contract and this Call Off Contract shall be binding on any successor body to the Customer. If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 60.2.3 (the “Transferee” in the rest of this Clause 47.460.4) the right of termination of the Customer in Clause 41.4 54.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 54.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

Authority. 40.4 If the Customer Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 40.2.2 (the “Transferee” in the rest of this Clause 47.4Clause) the right of termination of the Customer Authority in Clause 41.4 34.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 34.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 62.2.3 (the “Transferee” in the rest of this Clause 47.462.4) the right of termination of the Customer in Clause 41.4 56.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 56.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Call Off Contract to a private sector body in accordance with Clause 47.2.3 50.2.3 (the “Transferee” in the rest of this Clause 47.450.4) the right of termination of the Customer in Clause 41.4 44.4 (Termination on Insolvency) shall be available to the Supplier in the event of insolvency of the Transferee (as if the references to Supplier in Clause 41.4 44.4 (Termination on Insolvency) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).
