Common use of Assignment and Resale Clause in Contracts

Assignment and Resale. Customer may not assign its rights or obligations under this Agreement or any Order Form without the prior written consent of stc, which will not be unreasonably withheld, except Customer may assign this Agreement to a creditworthy affiliate of the Customer. This Agreement shall apply to any permitted transferees or assignees. Unless otherwise provided in an SLA, Customer may provide Service to third parties or use the Services in connection with goods or services provided by Customer to third parties (“Customer Provided Services”) provided that Customer shall indemnify, defend and hold stc and its affiliates harmless from any third party claims arising from or related to any Customer Provided Services.
