Assignment and Subcontracting; Binding Effect. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns. Except as permitted herein, neither Party may assign its rights or delegate its obligations under this Agreement to a Third Party without prior written consent of the other Party and the express prior written confirmation that any successor in interest to this Agreement agrees to be bound by the terms and conditions of this Agreement, except that either Party may assign this Agreement without the other Party’s consent to an Affiliate or to a person or entity who acquires all or substantially all of the business of the assigning Party to which this Agreement relates, by merger, sale of assets, or otherwise.
