Supplier may not assign any rights or claims, or delegate any duties under the Agreement, in whole or in part, without Purchaser’s prior written consent, which shall not be unreasonably withheld. In the event of any assignment, subcontracting or delegation permitted hereunder, Supplier shall continue to be liable for the performance of its obligations hereunder.
