ASSIGNMENT AND SUBCONTRACTORS. 1. Supplier may not assign any rights or claims, or delegate any duties under the Agreement, in whole or in part, without Purchaser’s prior written consent, which shall not be unreasonably withheld. In the event of any assignment, subcontracting or delegation permitted hereunder, Supplier shall continue to be liable for the performance of its obligations hereunder. 2. If Supplier proposes to subcontract any portion of the Work, it shall submit to Purchaser the name of each proposed subcontractor(s) prior to engaging such subcontractor(s), with the proposed portion of the Work and such information about the subcontractor(s) as Purchaser may request. Purchaser may reject any and all subcontractors at its absolute discretion. Supplier shall not be relieved of any responsibility or obligations under the Agreement by subcontracting any portion of the Work, whether or not such proposed subcontract is approved by Purchaser. 3. This Agreement is binding upon and shall inure to the benefit of the parties and their permitted successors and assigns.
