Assignment and Subleasing by Xxxxxx. Each Lease and the interest of Lessee in the Equipment may not be assigned, transferred, or subleased by Lessee without the prior written consent of the Lessor, which such consent shall not be unreasonably withheld; provided that a Lessee may assign, transfer or sublease to any other Agency, with prompt written notice to the Lessor.
