Assignment and Subletting Procedures. (a) If Tenant delivers to Landlord a Tenant's Offer Notice with respect to any proposed assignment of this Lease or subletting of all of the Premises and Landlord does not timely exercise any of its options under Section 6.02, and Tenant thereafter desires to assign this Lease or sublet the Premises as specified in Tenant's Offer Notice, Tenant shall notify Landlord (a "Transfer Notice") of such desire, which notice shall be accompanied by (i) a statement of the material terms and conditions of the proposed subletting or assignment, as the case may be, the effective date of which shall be at least 30 days after the giving of the Transfer Notice, (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant, the nature of its business and its proposed use of the Premises, (iii) current financial information with respect to the proposed assignee or subtenant, including, without limitation, its most recent financial statement or other evidence of proposed entity's creditworthiness and (iv) such other information as Landlord may reasonably request (provided such request is made within fifteen (15) days of Landlord's receipt of the Transfer Notice), and Landlord's consent to the proposed assignment or sublease shall not be unreasonably withheld, provided that:

(a) If (x) Tenant delivers to Landlord a Tenant's ’s Offer Notice with respect to any proposed assignment of this Lease or subletting of all or substantially all of the Premises or subletting of a portion of the Premises which, when aggregated with other subleases then in effect that are for substantially all of the then-remaining Term, covers all or substantially all of the Premises, in either case for all or substantially all of the remaining Term and Landlord does not timely exercise any of its options option under Section 6.02, and 5.02 or (y) Tenant thereafter desires to assign this Lease or sublet any space as to which Landlord shall not have the Premises as specified in Tenant's Offer Noticeoption under Section 5.02, then Tenant shall notify Landlord (a "“Transfer Notice"”) of such desire, which notice shall be accompanied by (i) a statement of the material terms and conditions copy of the proposed subletting assignment or assignmentsublease and all related agreements, as or an agreed term sheet which does not have to be signed by Tenant and the case may be, the effective date of which shall be at least 30 days after the giving of the Transfer Noticeproposed subtenant or assignee, (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant, the nature of its business and its proposed use of the Premises, Premises and (iii) current financial information with respect to the proposed assignee or subtenant, including, including without limitation, its most recent financial statement or other evidence of proposed entity's creditworthiness and (iv) such other information as Landlord may reasonably request (provided such request is made within fifteen (15) days of Landlord's receipt of the Transfer Noticestatements, and, subject to Section 5.03(d), and Landlord's ’s consent to the proposed assignment or sublease shall not be unreasonably withheld, conditioned or delayed, provided that:

(a) If (1) Tenant delivers to Landlord a Tenant's ’s Offer Notice with respect to any proposed assignment of this Lease or subletting as to which Landlord has the right of all of the Premises recapture under Section 5.02(b) and Landlord does not timely exercise any of its options under Section 6.02, 5.02(b) (or such options are deemed waived) and Tenant thereafter desires to assign this Lease or sublet the Premises as space specified in Tenant's ’s Offer Notice, or (2) Tenant otherwise desires to sublet any space in the Premises which is not subject to Landlord’s right of recapture, in either instance, pursuant to a proposed transaction that is not an Exempt Transaction, Tenant shall notify Landlord (a "“Transfer Notice"”) of such desire, which notice shall be accompanied by (iA) a statement of the material terms and conditions copy of the proposed subletting assignment or assignment, sublease and all related agreements (except as the case may be, the effective date of which shall be at least 30 days after the giving of the Transfer Noticeprovided in Section 5.03(c) below), (iiB) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant, the nature of its business and its proposed use of the Premises, and (iiiC) in the case of a sublease for which Tenant will be requesting a Landlord’s Non-Disturbance Agreement or a proposed assignment of this Lease, current financial information with respect to the proposed assignee or subtenant, including, including without limitation, its most recent financial statement or other evidence of proposed entity's creditworthiness and (iv) such other information as Landlord may reasonably request (provided such request is made within fifteen (15) days of Landlord's receipt of the Transfer Notice)statements, and Landlord's ’s consent to the proposed assignment or sublease shall not be unreasonably withheld, conditioned or delayed, provided that:

(a) If Tenant delivers to Landlord a Tenant's ’s Offer Notice with respect to any proposed assignment of this Lease or subletting of all or part of the Premises for all or substantially all of the remainder of the Term and Landlord does not timely exercise any of its options under Section 6.02a Recapture Option, and Tenant thereafter desires to assign this Lease or sublet the Premises as space specified in Tenant's ’s Offer Notice, or if Tenant desires to sublet all or part of the Premises for less than all or substantially all of the remainder of the Term or enter into any other transaction as to which Landlord’s consent is required, Tenant shall notify Landlord (a "“Transfer Notice"”) of such desire, which notice shall be accompanied by (i) a statement of the material terms and conditions copy of the proposed subletting assignment or assignment, as the case may besublease and all related agreements, the effective date of which shall be at least 30 days 15 Business Days after the giving of the Transfer NoticeNotice or, if the assignment or sublease has not been executed, then a term sheet or letter of intent setting forth the material terms of the transaction, (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant, the nature of its business and its proposed use of the Premises, (iii) current financial information with respect to the proposed assignee or subtenant, including, including without limitation, its most recent financial statement or other evidence of proposed entity's creditworthiness statements and (iv) such other information as Landlord may reasonably request (provided such request is made within fifteen (15) days of request. Landlord's receipt of the Transfer Notice), and Landlord's ’s consent to the proposed assignment or sublease shall not be unreasonably withheld, delayed or conditioned, provided that:

(a) If Tenant delivers to Landlord a Tenant's ’s Offer Notice with respect to any proposed assignment of this Lease or subletting of all or part of the Premises and Landlord does not timely exercise any of its options under Section 6.0213.2 within thirty (30) days receipt of such Xxxxxx’s Offer Notice, and Tenant thereafter (or simultaneously with Tenant’s Offer Notice) desires to assign this Lease or sublet the Premises as space specified in Tenant's ’s Offer Notice, Tenant shall notify give Landlord notice (a "“Transfer Notice"”) of such desire, which notice Transfer Notice shall be accompanied by (i) a statement copy of the material terms executed proposed assignment or sublease and conditions of the proposed subletting or assignment, as the case may beall related agreements, the effective date of which assignment or sublease shall be at least 30 thirty (30) days after the giving of the Transfer Notice, ; (ii) a statement setting forth in reasonable detail the identity of the proposed assignee or subtenant, the nature of its business and its proposed use of the Premises, ; (iii) current financial information with respect to the proposed assignee or subtenant, including, without limitation, including its most recent financial statement or other evidence of proposed entity's creditworthiness statements; and (iv) such other information as Landlord may reasonably request (provided such request is made within fifteen (15) days of Landlord's receipt of request.
