Common use of Assignment and Transfer of Rights Clause in Contracts

Assignment and Transfer of Rights. (a) This Agreement shall not be assignable in whole or in part by the Company without the prior consent in writing of the Government (b) The Government may impose such conditions precedent to the giving of such consent as it may deem appropriate in the circumstances. No assignment, however, may relieve the Company of its obligations under this Agreement except to the extent that such obligations are actually assumed by the Assignee. (c) During the term of this Agreement, no shares of the capital stock of the Company may be transferred except in accordance with the Minerals and Mining Law.
