ASSIGNMENT AND WARRANTIES. Each Partner Institution shall obtain the necessary assignments of intellectual property rights (this term includes, but is not limited to, copyright, database right, patents and trademarks) from all staff, agents, or sub-contractors involved in the development and production of the Deliverables on its behalf. Each Partner Institution warrants to the other Partner Institutions that it is the owner of the IPRs in the Deliverables, or that it is duly licensed to use the Deliverables, and that the use of the content of the Deliverables as contemplated in this Agreement does not infringe any IPRs or other proprietary or rights of any natural or legal person.
