Assignment; Benefits. This Agreement may not be assigned by any party -------------------- hereto without the prior written consent of each of the other parties. This Agreement shall be binding upon, and shall inure to the benefit of, each of the signatories hereto and their respective successors and permitted assigns.
Assignment; Benefits. Unless expressly permitted pursuant to this Agreement, neither the Investor Shareholders nor the Existing Shareholders may assign their rights hereunder without the consent of the Company and, in the event of a proposed assignment by an Existing Shareholder, an Investor Director.

Notwithstanding the foregoing, no rights may under any circumstances be transferred in respect of any Contingent Share Rights.
Assignment; Benefits. The benefits of this Agreement shall inure to the benefit of the respective successors and assigns of the parties hereto and of the indemnified parties hereunder and their successors and assigns and representatives, and the obligations and liabilities assumed in this Agreement by the parties hereto shall be binding upon their respective successors and assigns, provided, however, that Consultant shall not assign or permit any other person or entity to assume its obligations hereunder without the prior written approval of the Company. The Company shall provide Consultant with notice of its consent or withholding of such consent within ten days after approval has been requested.

The rights (but not the obligations) of Parent -------------------- hereunder may be assigned, in whole or in part, to Sub or any other direct wholly-owned subsidiary of Parent, to the extent and for so long as it remains a direct wholly-owned subsidiary of Parent. Other than as permitted in the preceding sentence, this Agreement may not be assigned by any party hereto without the prior written consent of the other party. This Agreement shall be binding upon, and shall inure to the benefit of, the Holder, Parent and their respective successors and permitted assigns.

During the Term and so long as assigned to Switzerland, the Executive shall be entitled to the following benefits (“Assignment Benefits”); all the benefits provided for in this Addendum are inclusive of a Representative Allowance of CHF 100,000 and are in addition to the perquisities and other benefits provided for in the Agreement:

Assignment; Benefits. This Agreement and the rights granted hereunder may not be assigned by any Holder and any purported assignment shall be void ab initio. Nothing herein contained, express or implied, is intended to confer upon any person other than the parties hereto any rights or remedies under or by reason of this Agreement. This Agreement shall inure to the benefit of and bind the respective parties' successors or permitted assigns.
Assignment; Benefits. Neither party may assign it rights hereunder without the prior written consent of the other party hereto, except, the Holder may assign the Holder’s rights hereunder (including, for the avoidance of doubt, the rights set forth in Section 11 hereof) without the prior written consent of the Company in connection with the sale or transfer of the Registrable Securities, provided that simultaneously with such transfer, the Holder provides the Company with written notice thereof pursuant to Section 7 hereof. For the avoidance of doubt, upon the assignment effected in accordance with the provision of this Section 10, any assignee of the assigning Holder’s rights hereunder, shall immediately accede to the assigning Holder’s rights under this Agreement and, accordingly, become a “Holder” within the meaning of this Agreement.

Neither party may assign or transfer any of its rights or delegate any of its obligations under this Agreement without the prior written consent of all of the other parties hereto, except as permitted by Section 2.5 or as may occur by operation of law. This Agreement shall be binding upon and shall inure to the benefit of the parties, their successors and permitted assigns.
