Common use of Assignment; Binding Effect; Third Party Beneficiaries Clause in Contracts

Assignment; Binding Effect; Third Party Beneficiaries. No party hereto may assign any of its rights or obligations under this Agreement without the prior written consent of the other party hereto, and any purported assignment without such consent shall be void. This Agreement shall be binding on and inure solely to the benefit of the parties hereto, and their respective heirs, executors, administrators, successors and permitted assignees. Nothing in this Agreement, express or implied, is intended to confer upon any person other than the parties hereto and their respective permitted successors and assigns any rights or remedies of any nature whatsoever under or by reason of this Agreement.
