Common use of Assignment; Binding Nature of Agreement Clause in Contracts

Assignment; Binding Nature of Agreement. This Agreement is personal to Executive, and Executive may not assign, delegate or transfer his rights or obligations hereunder. This Agreement is assignable by the Company in its sole and absolute discretion; provided that the assignee is not less creditworthy in any material respect than the Company. This Agreement, including the restrictive covenants in Sections 12 and 13 above, shall be binding upon and inure to the benefit of the Company and its successors and assigns, and shall be binding upon Executive, his heirs and legal representatives.
