ASSIGNMENT BY DEALER. This Agreement is made by DIRECTV in reliance on the financial, business and personal reputation of DEALER (as represented by DEALER) and its ownership and management. Accordingly, this Agreement may not be assigned, pledged, encumbered or otherwise transferred by DEALER in any manner whatsoever. Any purported or attempted assignment, encumbrance, pledge or transfer in violation of this Section 10.2 shall be deemed to be null and void, and this Agreement shall be automatically terminated in the event of such purported or attempted assignment, encumbrance, pledge or transfer.
ASSIGNMENT BY DEALER. This Agreement and the rights granted to the Dealer pursuant to this Agreement may be sold, assigned or transferred by the Dealer only with the prior written approval of Bikers Dream, which will not be unreasonably withheld.
