Assignment by Gateway Sample Clauses

Assignment by Gateway. Gateway shall have the right to assign and transfer its interest in, and pledge any Fees or other sums to which Gateway is entitled (including, without limitation, its interest in all sums deposited into the Prepaid Premium Seating Revenue Account, the Premium Seating Revenue Account and the Capital Repairs Fund) under this Agreement or any other interest Gateway has in this Agreement, in whole or in part, as security for the repayment of the Bonds, or other financing approved by the Operator, for the costs of the design and construction of the Baseball Facility (including, without limitation, any letter of credit issued to secure the Bonds). All costs incurred in connection with any such pledge shall be the sole responsibility of Gateway. Gateway shall also have the right to assign and transfer its right, title and interest in and to this Agreement, in whole or in part, to the City or the County pursuant to and subject to the Three Party Agreement.
