Common use of Assignment by Lenders Clause in Contracts

Assignment by Lenders. Each Lender may assign all or any part of its rights in respect of its Contribution under this Agreement or under any of the other Finance Documents to any other bank or financial institution or to a trust, fund or other entity which is regularly engaged in or established for the purpose of making, purchasing or investing in loans, securities or other financial assets (an Assignee) without the prior written consent of the Company. An assignment will only be effective on the Assignee acceding to (a) the Restructuring Agreement as a Participating Lender in accordance with its terms and (b) the Agency Agreement as a New Money Lender in accordance with its terms.
