Common use of Assignment by Licensee Clause in Contracts

Assignment by Licensee. (a) Licensee may assign or transfer this Agreement and/or any of the rights granted under Clause 1.1 of this Agreement to any: (i) Affiliate of Licensee; and (ii) Third Party in connection with the disposal to that Third Party of: (A) any Novartis Product that uses any element of the Licensed IP Rights as at the date of that disposal; or (B) all or substantially all of the Licensor’s business to which this Agreement relates. (b) If Licensee assigns or transfers any of its rights and/or obligations under this Agreement to an Affiliate or a Third Party, it shall notify Licensor as soon as practicable after such assignment or transfer together with particulars of the assignee or transferee.
