Common use of Assignment by Secured Party Clause in Contracts

Assignment by Secured Party. Secured Party and each Lender may at any time assign or otherwise transfer all or any portion of their rights and obligations under this Agreement and the other Loan Documents (including, without limitation, the Obligations) to any other Person, to the extent permitted by, and upon the conditions contained in, the Credit Agreement, and such Person shall thereupon become vested with all the benefits thereof granted to Secured Party or the Lenders, as applicable, herein or otherwise.

Assignment by Secured Party. In accordance with the provisions of the Credit Agreement, any of Secured Party and each Lender the Lenders may at any time assign or otherwise transfer all or any portion of their its rights and obligations under this Agreement and the other Loan Documents (including, without limitation, the Obligations) ), in connection with an assignment of the Obligations, to any other Person, to the extent permitted by, and upon the conditions contained in, the Credit Agreement, and such other Person shall thereupon become vested with all the benefits thereof granted to Secured Party or and the Lenders, as applicablerespectively, herein or otherwise.

Assignment by Secured Party. In accordance with the provisions of the Loan Agreement, Secured Party and each Lender may at any time assign or otherwise transfer all or any portion of their its rights and obligations under this Agreement and the other Loan Documents (including, without limitation, the Obligations) ), in connection with an assignment of the Obligations, to any other Person, to the extent permitted by, and upon the conditions contained in, the Credit Agreement, and such other Person shall thereupon become vested with all the benefits thereof granted to Secured Party or the Lenders, as applicable, herein or otherwise.

Assignment by Secured Party. Assignment by Secured Party. Assignment by Secured Party. Secured Party may assign any or all of the Obligations together with any or all of the security therefor and each Lender may at any time assign or otherwise transfer transferee shall succeed to all or any portion of their Secured Party’s rights and obligations under this Agreement and with respect thereto. Upon such transfer, Secured Party shall be released from all responsibility for the other Loan Documents (including, without limitation, the Obligations) to any other Person, Collateral to the extent permitted bysame is assigned to any transferee. Debtor agrees that each such holder may exercise any and all rights of banker’s lien, set-off and upon counterclaim with respect to its participation in the conditions contained in, Obligations as fully as though Debtor were directly indebted to such holder in the Credit Agreement, and amount of such Person shall thereupon become vested with all the benefits thereof granted to Secured Party or the Lenders, as applicable, herein or otherwiseparticipation. 17.

Assignment by Secured Party. Assignment by Secured Party. Secured Party and each Lender may at any time assign or otherwise transfer all or any portion of their rights and obligations under this Agreement and the other Loan Documents (including, without limitation, the Obligations) to any other Person, to the extent it is permitted by, and upon to assign its obligations under the conditions contained in, the Credit Loan Agreement, any or all of the Obligations together with any or all of the security therefor and any transferee shall succeed to all of Secured Party's rights with respect thereto. Upon such Person shall thereupon become vested with all the benefits thereof granted to transfer, Secured Party or shall be released from all responsibility for the Lenders, as applicable, herein or otherwiseCollateral to the extent same is assigned to any transferee.
