Assignment by the Assignors. Pursuant to the terms and subject to the conditions of the Asset Purchase Agreement, and effective as of the Effective Time, the Assignors hereby sell, convey, transfer and assign to the Assignee all of their respective rights, title and interests in, to and under the Assigned Contracts.
