Common use of Assignment by the Depositor or the Servicer Clause in Contracts

Assignment by the Depositor or the Servicer. (a) Notwithstanding anything to the contrary contained herein, except as provided in Sections 7.04, 8.02 and 10.04(b), this Agreement may not be assigned by the Depositor or the Servicer without the prior written consent of the Trustees and Holders of Notes evidencing at least 66 2/3% of the Note Balance of the Controlling Class. (b) The Depositor hereby acknowledges and consents to the Grant of a security interest by the Issuer to the Indenture Trustee pursuant to the Indenture for the benefit of the Noteholders of all right, title and interest of the Issuer in, to and under the Trust Estate and the assignment of any or all of the Issuer’s rights and obligations hereunder to the Indenture Trustee.
