Common use of Assignment by the Utility Clause in Contracts

Assignment by the Utility. Notwithstanding anything to the contrary contained in this Agreement, the Utility may, after giving 60 (sixty) days‟ notice to the Supplier, assign and/ or transfer any of its rights and benefits and/or obligations under this Agreement to an assignee who is, in the reasonable opinion of the Utility, capable of fulfilling all of the Utility‟s then outstanding obligations under this Agreement and has the financial standing necessary for this purpose.
