Assignment Defined. An “assignment” shall be defined as a teaching position or a position listed in Exhibits B and C of this Agreement whereas, the individual is assigned through the building administrator and/or the Board of Education.

The term “assignment” also 4 or other transfer of substantially all of the assets of any member of the Contractor 5 (including in the context of a bankruptcy or other insolvency proceeding or an 6 assignment for the benefit of creditors), and (3) any event that results in a change of 7 voting power, as defined in California Corporations Code, with respect to the persons 8 who exercise such voting power in a member of Contractor on the date of this 9 Agreement, other than a transfer to members of such person’s immediate family.

A merger of Greenwaste Recovery, Inc. and Zanker Road Resource Management, Ltd., shall not constitute an “assignment” requiring the City’s approval. However, Contractor shall provide City at least 90 days notice of such a proposed merger and the consolidated entity shall provide City a new Guaranty substantially in the form of Attachment M within two business days after the merger or consolidation.

Assignment Defined. The term "assignment" shall include any dissolution, merger, consolidation or other reorganization of the Contractor, or the sale or other transfer of Contractor's capital stock, which results in a change in control.
Assignment Defined. For the purpose of this Section, "assignment" shall include, but not be limited to (i) a sale, exchange or other transfer (not including return of leased Facilities to their owner) of at least twenty-five percent (25%) of Contractor’s Facilities to a third party; (ii) a sale, exchange or other transfer of outstanding common stock of Contractor to a third party provided said sale, exchange or transfer may result in a change of control of Contractor or control over Contractor’s Facilities; (iii) any dissolution, organization, consolidation, merger, re-capitalization, stock issuance or re-issuance, voting trust, pooling agreement, escrow arrangement, liquidation or other transaction to which results in a change of control of Contractor or control over Contractor’s Facilities; (iv) any assignment by operation of law, including insolvency or bankruptcy, an assignment for the benefit of creditors, an attachment or a levy against this Agreement, the appointment of a receiver taking possession of Contractor’s Facilities, or a probate transfer; and (v) any combination of the foregoing (whether or not in related or contemporaneous transactions) which effectively changes control of Contractor or divests Contractor of control of Contractor’s Facilities. Contractor acknowledges that this Agreement involves rendering a vital service to District’s residents and business, and that District has selected Contractor to perform the services specified herein based on (i) Contractor’s experience, skill and reputation for conducting its operations in a safe, effective and responsible fashion, at all times in keeping with applicable Environmental Laws, regulations, and best management practices, (ii) Contractor’s financial resources to maintain the required equipment and services to District under this Agreement, (iii) Contractor’s Schedule of Rates, (iv) Contractor’s quality of service and (v) Contractor’s obligations to District under this Agreement. District has relied on each of these factors, among others, in entering into this Agreement. Contractor shall promptly notify District’s Manager in writing of any proposed assignment. No interest in this Agreement may be assigned, sold, hypothecated, mortgaged, subcontracted or otherwise transferred, either in whole or in part, without the prior written consent of District, which consent shall not unreasonably be withheld.
