Common use of Assignment/Delegation/Change of Control Clause in Contracts

Assignment/Delegation/Change of Control. Except as otherwise permitted herein, neither party shall have the right to assign, delegate, or otherwise transfer (“Transfer”) any or all of its rights and/or obligations under this Agreement to any third party without the prior written consent of the other party hereto, which consent shall not be unreasonably withheld. The foregoing notwithstanding, either party shall have the unrestricted right to Transfer any or all of its rights and/or obligations under this Agreement to any parent, subsidiary, or other affiliate, or to any entity that is a successor-in-interest to such party’s business. This Agreement shall be binding upon and shall inure to the benefit of the parties and their respective affiliates, successors, and assigns.
