Common use of Assignment Effective Date Clause in Contracts

Assignment Effective Date. At or before 12:00 noon (local time of Assignor Participant) on the Assignment Effective Date, each Assignee Participant shall pay to Assignor Participant, in immediately available or same day funds, an amount equal to the purchase price, as agreed between Assignor Participant and such Assignee Participant (the "Assignment Purchase Price"), for the respective Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Proportionate Share purchased by such Assignee Participant hereunder. Effective upon receipt by Assignor Participant of the Assignment Purchase Price payable by each Assignee Participant, the sale, assignment and delegation to such Assignee Participant of such Proportionate Share as described in Paragraph 2 hereof shall become effective.

At or before 12:00 noon (local time of Assignor ParticipantLender) on the Assignment Effective Date, each Assignee Participant Lender shall pay to Assignor ParticipantLender, in immediately available or same day funds, an amount equal to the purchase price, as agreed between Assignor Participant Lender and such Assignee Participant Lender (the "Assignment “Purchase Price"”), for the respective Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Revolving Loan Proportionate Share or Term Loan Proportionate Share, as the case may be, purchased by such Assignee Participant Lender hereunder. Effective upon receipt by Assignor Participant Lender of the Assignment Purchase Price payable by each Assignee ParticipantLender, the sale, assignment and delegation to such Assignee Participant Lender of such Proportionate Share as described in Paragraph 2 hereof shall become effective.
