Assignment, Etc. The Developer may not assign this Agreement without the prior written consent of the Town. The terms of this Agreement shall not be deemed to be merged in the execution and delivery by the Developer to the Town of any deed required hereunder but the terms hereof shall survive and remain in full force and effect and the acceptance of any such deed shall not constitute a waiver by the Town of any rights which the Town may have against the Developer as provided for in this Agreement. Any assignment made with or without the consent of the Town, shall not relieve the Developer of any of the obligations of this Agreement but the Developer and all assignees shall be jointly and severally bound by all the terms hereof.
