Assignment in Event of Acquisition. Notwithstanding the foregoing provisions of this Section 13, either Party may Transfer its rights and obligations under this Agreement to any corporation or other entity that shall acquire all or substantially all of such Party's business and assets and assume in writing all of such Party's obligations hereunder and deliver a signed copy of such assumption instrument to the other Party; and, upon the other Party's receipt of such assumption instrument, the assigning Party shall be fully released and discharged from its obligations under this Agreement. In the event of such a Transfer, the Non-Affected Party shall have the right to terminate this Agreement as provided in Section 10.
