ASSIGNMENT OF DIVIDENDS AND OTHER DISTRIBUTIONS; ADJUSTMENT OF OPTION PRICE. Shareholder hereby assigns to Buyer any and all dividends and other distributions that may be declared, set aside or paid by Target with respect to Shareholder's Shares during the term of this Agreement; alternatively, and at Buyer's option, the Option Price for Options relating to Shares for which any dividends have been declared, set aside or paid by Target may be adjusted downward by the value of any such dividends declared, set aside or paid by Target; provided in any such case that the record date for any such dividend or other distribution is at a time when Shareholder owns the Shares.
