ASSIGNMENT OF GENERAL PARTNER'S INTEREST. The General Partner shall not transfer its Interest in the Partnership as General Partner or voluntarily withdraw as General Partner without the written consent of Two-Thirds-in- Interest of the Nondefaulting Limited Partners. Notwithstanding the foregoing, the General Partner or the partners thereof may assign a portion of the right to receive Partnership distributions to other Persons.
