Common use of ASSIGNMENT OF LEASE AND GUARANTY Clause in Contracts

ASSIGNMENT OF LEASE AND GUARANTY. For good and valuable consideration, Assignor hereby assigns, sells, transfers, sets over and conveys to Assignee, and Assignee hereby accepts such assignment, all right, title and interest of Assignor in, to and under (i) that certain Lease dated as of October 21, 2003, by and between Assignor, as Landlord, and APPLE OHIO LLC, a Delaware limited liability company ("Tenant"), as Tenant (the "Lease"), all rights and obligations of Assignor under the Lease; and (ii) that certain Guaranty with respect to the Lease (the "Lease Guaranty"), executed as of October 21, 2003, by Apple American Group LLC, a Delaware limited liability company with respect to that certain parcel of real property located in Sandusky, Ohio, which is more fully described on Exhibit A attached hereto. A Memorandum of Lease dated October 21, 2003, was recorded November 19, 2003, in the Erie County Records having Instrument No. 200322881.

ASSIGNMENT OF LEASE AND GUARANTY. For good and valuable consideration, Assignor hereby assigns, sells, transfers, sets over and conveys to Assignee, and Assignee hereby accepts such assignment, all right, title and interest of Assignor in, to and under (i) that certain Lease dated as of October 21, 2003, by and between Assignor, as Landlord, and APPLE OHIO LLC, a Delaware limited liability company ("Tenant"), as Tenant (the "Lease"), all rights and obligations of Assignor under the Lease; and (ii) that certain Guaranty with respect to the Lease (the "Lease Guaranty"), executed as of October 21, 2003, by Apple American Group LLC, a Delaware limited liability company with respect to that certain parcel of real property located in SanduskyStow, Ohio, which is more fully described on Exhibit A attached hereto. A Memorandum of Lease dated October 21, 2003, was recorded November 1917, 2003, in the Erie Summit County Records having Instrument No. 20032288154975994.

A Memorandum of Lease dated October 21, 2003, was recorded November 1917, 2003, in the Erie County Records Recorder's Office, Summit County, Ohio, having Instrument No. 20032288154976007.

ASSIGNMENT OF LEASE AND GUARANTY. A Memorandum of Lease dated October 21, 2003, was recorded November 1918, 2003, in the Erie Ashland County Records having Instrument No. 200322881in Volume 376, Page 219.
