Assignment of Parking Lease on Termination of Master Lease Clause Samples

Assignment of Parking Lease on Termination of Master Lease. Tenant shall, if requested by Lessor in connection with the expiration or earlier termination of the Master Lease as it applies to the Facility, assign its rights and obligations under the Parking Lease to Lessor effective on the date on which the Master Lease so expires or terminates. Upon that assignment, (a) Lessor will release Tenant from Tenant’s obligations under the Parking Lease to the extent accruing on and after the effective date of the assignment, (b) Tenant will indemnify, hold harmless and defend Lessor, at Tenant’s expense, from and against any and all actions, claims, demands and expenses (including, without limitation, reasonable attorneys’ fees and costs) to the extent arising out of, directly or indirectly, the obligations of Tenant accruing under the Parking Lease prior to the date of assignment, and (c) Lessor will indemnify, hold harmless and defend Tenant, at Lessor’s expense, from and against any and all actions, claims, demands and expenses (including, without limitation, reasonable attorneys’ fees and costs) to the extent arising out of, directly or indirectly, the obligations of Lessor accruing under the Parking Lease on and after the date of assignment.
