ASSIGNMENT OF PATENTS AND PATENT APPLICATIONS. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound hereby, Leveraged Developments LLC, a New Hampshire limited liability company with an address of 70 Xxxxxxxx Xxxxxx, Xxxxxxxxxx XX 00000 (“Assignor”), for itself and its successors and assigns, hereby assigns to Point Medical Inc., a Delaware corporation having an office at 600 Xxxxxxxxxxxx Xxxx, Xxxxxxx Xxxxx, XX 00000, its successors and assigns (“Assignee”), all right, title and interest in and to the patents and patent applications set forth on Schedule A attached hereto and made a part hereof, together with all rights to any inventions and discoveries disclosed therein, any divisional, renewal, substitute, continuation or convention applications based in whole or in part upon any of such inventions or discoveries or upon such patents and/or patent applications, and any letters patent and extension or reissue patents hereafter granted in respect of such inventions and/or discoveries or any such patents and/or patent applications (collectively, the “Patents”). This Assignment is being executed in connection with that certain Asset Purchase and Intellectual Property Assignment Agreement dated October 29, 2014. This Assignment of Patents and Patent Applications includes the right to file patent applications in any countries with respect to any of the Patents in Assignee’s own name or such other name(s) as Assignee may choose, the right to claim for any and all damages by reason of past infringement of the rights so sold, transferred and assigned, and the right to sxx for and collect the same for Assignee’s own use and enjoyment and for the use and enjoyment of its successors and assigns, the same to be held and enjoyed by Assignee, its successors and assigns, to the full end of the term thereof. Assignor authorizes the Commissioner of Patents to issue or transfer to Assignee all letters patent issued with respect to any of such Patents.

This Assignment is being executed in connection with that certain Asset Purchase and Intellectual Property Assignment Agreement dated October 29, 2014. This Assignment of Patents and Patent Applications includes the right to file patent applications in any countries with respect to any of the Patents in Assignee’s own name or such other name(s) as Assignee may choose, the right to claim for any and all damages by reason of past infringement of the rights so sold, transferred and assigned, and the right to sxx for and collect claim priority to any of the preceding, the same to be held by Assignee for Assignee’s own use and enjoyment enjoyment, and for the use and enjoyment of its successors Assignee’s successors, assigns and assignsother legal representatives, as fully and entirely as the same to be would have been held and enjoyed by AssigneeAssignor if this Agreement had not been made; together with all claims for damages by reason of past, its successors present and assigns, to the full end future infringements of the term thereof. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound hereby, Leveraged Developments LLCS*Bio Pte Ltd., a New Hampshire limited liability company with an address organized under the laws of 70 Xxxxxxxx XxxxxxSingapore, Xxxxxxxxxx XX 00000 located at x/x XXXX, 000 Xxxxx Xxxxxx Xx #00-00 Xxxxxxx Xxxx Xxxxx, Xxxxxxxxx 000000 (“Assignor”), for itself hereby irrevocably sells, transfers, conveys and its successors and assigns, hereby assigns to Point Medical Verastem, Inc., a Delaware corporation having an office corporation, located at 600 Xxxxxxxxxxxx Xxxx000 Xxxxx Xxxxxx, Xxxxxxx XxxxxXxxxx 000, XX 00000Xxxxxxxxx, its successors and assigns Xxxxxxxxxxxxx 00000 XXX (“Assignee”), all the entire right, title and interest for the United States of America and its territorial possessions, and all foreign countries and patent regions, including all rights of priority, in and to inventions disclosed in the patents and patent applications set forth identified on Schedule A attached hereto A, all such patents and made a part hereofpatent applications, together with and in and to all rights to Letters Patents of the United States and all foreign countries and patent regions which may or shall be granted on said inventions or applications, or any inventions and discoveries disclosed thereinparts thereof, or any divisional, renewalcontinuing, substitutereissue, continuation reexamination, extension or convention other applications based in whole or in part upon any of such inventions thereon or discoveries which claim priority or upon such patents and/or patent applicationsare related by terminal disclaimer thereto or therefrom, and any letters patent and extension or reissue patents hereafter granted in respect of such inventions and/or discoveries or any such patents and/or patent applications including the right to recover for past infringement (collectively, the “PatentsAssignment”). This Assignment is being executed in connection with that certain Asset Purchase and Intellectual Property Assignment Agreement dated October 29Assignor acknowledges having received consideration for the Assignment. Assignor agrees to execute all applications, 2014. This Assignment of Patents and Patent Applications includes the right to file patent applications in any countries with respect to any of the Patents in Assignee’s own name amended specifications, deeds or such other name(s) as Assignee may choose, the right to claim for any and all damages by reason of past infringement of the rights so sold, transferred and assignedinstruments, and to do all acts necessary or proper to secure the right grant of Letters Patent in the United States and in all other countries and patent regions to sxx for Assignee, to vest and collect the same for Assignee’s own use and enjoyment and for the use and enjoyment of its successors and assigns, the same to be held and enjoyed by confirm in Assignee, its successors and assigns, the legal title to all such patents and patent applications, including any separate written forms of assignment necessary to perfect the full end of the term thereofAssignment in specific countries and patent regions. Assignor authorizes appoints any officer of Assignee as its duly authorized attorney to execute, file, prosecute and protect the same before any government agency, court or authority. Assignor hereby declares that the foregoing powers are coupled with an interest and are and shall be irrevocable by Assignor. Assignor does hereby authorize and request the Commissioner of Patents and Trademarks of the United States, and the equivalent authority in each other country and patent region in the world, to issue such Letters Patent as shall be granted upon said inventions or transfer applications based thereon to Assignee all letters patent issued with respect to any of such PatentsAssignee, its successors and assigns.
