Common use of Assignment of Rights and Delegation of Duties Clause in Contracts

Assignment of Rights and Delegation of Duties. This Agreement is binding upon and inures to the benefit of the Parties and their respective successors and assigns. BCBSSC retains the right to assign or delegate any of its rights or obligations hereunder to any of its subsidiaries, affiliates or successor companies. Otherwise, neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, which consent will not be unreasonably withheld or delayed.
