ASSIGNMENT OF SUBSCRIPTION AGREEMENT. Neither this Agreement nor any rights of the Holder hereunder may be assigned by either party to any other person. Notwithstanding the foregoing, the provisions of this Agreement shall inure to the benefit of, and be enforceable by, any transferee of any of the Securities purchased or acquired by the Holder hereunder with respect to the Securities held by such person.
