Common use of ASSIGNMENT OF SUPPLIER WARRANTIES Clause in Contracts

ASSIGNMENT OF SUPPLIER WARRANTIES. To the extent permitted, Lessor hereby assigns to Lessee, for the Total Term of any Lease, all Equipment warranties provided by any Supplier in the applicable Purchase Documents. Lessee shall have the right to take any action it deems appropriate to enforce such warranties provided such enforcement is pursued in Lessee's name and at its expense. In the event Lessee is precluded from enforcing any such warranty in its name, Lessor shall, upon Lessee's request, take reasonable steps to enforce such warranty. In such circumstances, Lessee shall, promptly upon demand, reimburse Lessor for all out-of-pocket expenses incurred by Lessor in enforcing the Supplier warranty. Any recovery resulting from any such enforcement efforts shall be divided among Lessor and Lessee as their interests may appear.

In such circumstances, Lessee Xxxxxx shall, promptly upon demand, reimburse Lessor for all out-of-pocket expenses incurred by Lessor Xxxxxx in enforcing the Supplier warranty. Any recovery resulting from any such enforcement efforts shall be divided among between Lessor and Lessee as their interests may appear.
