ASSIGNMENT OF THE DEBT. 1.1 Upon Assignor’s receipt of the Purchase Price (defined below), Assignor grants, transfers and sets over unto Assignee its right, title and interest in and to the Assigned Debt, including, without limitation, all rights, benefits and advantages of Assignor to be derived herefrom and all burdens, obligations and liabilities to be derived thereunder, in consideration of the premises and the consideration set out in Section 1.2.
