Common use of Assignment of this Agreement and the Change of Parties Clause in Contracts

Assignment of this Agreement and the Change of Parties. 10.1 Without prior written consent of Party A, Party C and Party B shall not transfer, assign any right or obligation under this Agreement to any third party, except that Party A acquires the equity interest of Party B directly or indirectly according to the Exclusive Option Agreement. 10.2 Part B hereby agrees that Party A shall have right to transfer or assign any of its rights and obligations without Party B’s prior consent by informing written notice to Party B at the transfer or assignment.
