Common use of Assignment of this Agreement Clause in Contracts

Assignment of this Agreement. 10.1 No party shall: (a) assign any of its rights under this Agreement; (b) transfer any of its obligations under this Agreement; (c) sub-contract or delegate any of its obligations under this Agreement; or (d) charge or deal in any other manner with this Agreement or any of its rights or obligations, provided that: (e) Woodford may assign any of its rights under this Agreement to any person to whom it is entitled to transfer shares in the Company pursuant to article 48.1(b) of the Articles in connection with a transfer of shares in the Company to that person; and (f) the Invesco Fund may assign any of its rights under this Agreement to any person to whom they are entitled to transfer shares in the Company pursuant to article 48.1(b) of the Articles in connection with a transfer of shares in the Company to that person and Invesco may exercise any of their respective rights under this Agreement for the benefit of any such person. 10.2 Any purported assignment, transfer, sub-contracting, delegation, charging or dealing in contravention of this clause shall be ineffective.
