Common use of Assignment of Transferred Trademarks Clause in Contracts

Assignment of Transferred Trademarks. As part of the assignment of the Transferred Intellectual Property Rights, Agilent hereby agrees to, and agrees to cause its Subsidiaries to, assign to Verigy IP Sub all right, title and interest in all countries worldwide in and to the Transferred Trademarks and any applications and registrations related thereto, including all common law trademark or trade name rights in such Transferred Trademarks, together with the goodwill of the business symbolized by such Transferred Trademarks.

Assignment of Transferred Trademarks. As part of the assignment of the Transferred Intellectual Property Rights, Agilent hereby agrees to, and agrees to cause its Subsidiaries to, assign to Verigy IP Sub Purchaser all right, title and interest in all countries worldwide in and to the Transferred Trademarks and any applications and registrations related thereto, including all common law trademark or trade name rights in such Transferred Trademarks, together with the goodwill of the business Business to the extent symbolized by such Transferred Trademarks, subject to the licenses granted to CCIL in Section 3.1 below.
