Assignment or Assignments. There shall be no transfer or assignment of any of the rights or obligations of the Developer under this Agreement, without the prior written approval of the Town. The Developer agrees to provide the Town with at least fourteen (14) days' advance written notice of the transfer or assignment of any of the rights and obligations of the Developer under this Agreement.

The Individual Lot Owner agrees to provide the Town with at least fourteen (14) days' advance written notice of the transfer or assignment of any of the rights and obligations of the Individual Lot Owner under this Agreement.

Subdivider shall have the right to assign its obligations under this First Amendment to Agreement to any homebuilder, Subdivider or other successor owner who purchases the Property from Subdivider. In the event of such assignment, Subdivider shall provide evidence of assignment to the County. Subdivider agrees to provide the County with at least thirty (30) days’ advance written notice of the transfer or assignment of any of the rights and obligations of the Subdivider under this First Amendment to Agreement.

There shall be no assignment of this Agreement without the prior written approval of the Town, which the Town may grant or withhold in its sole discretion. The Developer agrees to provide the Town with at least fourteen (14) days’ advance written notice of the proposed transfer or assignment of this Agreement. Notwithstanding the foregoing, the Town consents to the assignment of this Agreement to (the “Assignee”), on the conditions that (a) the Assignee provides the Town with replacement letter of credit in a form and in an amount that is acceptable to the Town, on or before _, 20 ; (b) the Assignee is the owner of all of the Property contained within the 20 ; and (c) on or before , 20 , the Developer and Assignee execute and deliver to the Town the “Assignment and Assumption Agreement for Subdivision Agreement,” which is attached hereto as Exhibit G and incorporated by this reference.
