Assignment or Delegation by the Originator. Except as specifically authorized hereunder, the Originator may not convey and assign or delegate any of its rights or obligations hereunder absent the prior written consent of the Issuer and the Indenture Trustee, and any attempt to do so without such consent shall be void.
