Common use of Assignment or Dissolution Clause in Contracts

Assignment or Dissolution. In the event of an assignment of a Membership Interest or of the dissolution or termination of any Member, profits and losses shall be allocated on the basis of the number of days in the particular year during which each Member owned its Membership Interest, or on any other reasonable basis consistent with applicable United States tax laws and regulations.
