Each Receivable arising under a Designated Servicing Agreement is fully transferable hereunder in accordance with the Xxxxxxx Mac Consent or the Xxxxxx Xxx Acknowledgement, as applicable, and such transfer will not violate the terms of, or require the consent of any Person other than Xxxxxxx Mac or Xxxxxx Xxx under the related Designated Servicing Agreement or any other document or agreement to which Ditech is a party or to which its assets or properties are subject.
